EASTERN SHORE CORVETTE CLUB

The "Shorevettes"

Established in 1997 by a group of Corvette enthusiasts, the Eastern Shore Corvette Club now has more than 40 members sharing a passion for America ’s Sports Car. It is a non-profit organization with a mission that includes sponsorship of various non-profit organizations. Our members participate in cruises, social events and annual Corvette shows.

BY-LAWS

ARTICLE I

Club Name

SECTION 1.     This club shall be known as “Eastern Shore Corvette Club, Inc.”, abbreviated as “Shorevettes” hereafter referred to as ‘the club’.

ARTICLE II

Objective

SECTION 1.    The object of the club is to promote and develop an active interest and pride of ownership of Corvettes, encourage planned trips and social activities for the members. The club will also provide and regulate events and exhibitions for Corvette owners.

ARTICLE III

Membership

SECTION 1.     Membership of the club shall consist of Corvette enthusiasts. It will consist of a cross-section of business, social and cultural life of the broader community and shall be made up of adult men and women of good character. Members must have a community interest in the Eastern Shore of Maryland or the adjacent area thereto and must have been duly elected to membership in the manner prescribed in these by-laws. All memberships shall not be transferable or refundable.

SECTION 2.     Classes of Membership:

Active: Any person duly elected as provided in Section 1 of this article and having paid such dues and fees as required. Annual dues are set at a current rate of $30.00. Said rate may subsequently increase at the Boards / Members / Club’s discretion.

SECTION 3.     Dues:

a.      Annual dues shall be $30.00

b.      Payment of dues – All dues shall be paid on or before September 1 of each year.

c.       Initial Dues – For the first year’s membership, each primary member shall pay a membership fee of $30.00. Initial membership fees shall accompany the membership application. Dues shall be prorated at the rate of $2.50 per month for anyone joining at any other month but September.

d.      A member shall be regarded in good standing if he / she is not more than 60 days in arrears in payment of any indebtedness, dues or otherwise, to the club.

SECTION 4.     Admission:

Active members shall be admitted to the club in the following manner:

a.      Proposals for membership shall be submitted to the Officers and bear the endorsement of one other member of the club in good standing.

b.      The Officers shall immediately refer all such proposals to the members of the club for recommendations.

c.       A vote will be taken on club membership for this person. A two-thirds majority vote is required.

SECTION 5.     Privileges:

Active members are entitled to all club privileges and have the right to vote and hold office.  Each membership shall be entitled to one vote. That vote may be split, if so desired, by the voting unit.

SECTION 6.     Expulsion:

Membership will automatically lapse for non-payment of dues. Reinstatement will be at the discretion of the Board upon payment of all indebtedness. Any member may be expelled for an infraction of the Club’s rules, or such other causes as may be determined by the majority of the Officers in the best interests of the Club. However, before such action is taken, the member shall have the opportunity of submitting, in writing or in person, his / her position on any charge of which he / she has been notified.

SECTION 7.     Resignation:

Any member may resign by directing a letter of resignation to the Secretary. His / Her resignation shall be effective on receipt, providing all indebtedness to the Club has been paid.

ARTICLE IV

SECTION 1.     Duties of the President:

The President shall preside at all meetings of the members and shall perform the duties pertaining to his/ her office. He / She may call special meetings of the members under the provisions of Article V. He / She shall be the chief executive of the Club.

SECTION 2.     Duties of the Vice-President:

In the absence of the President or in the case of his / her death, resignation or inability to act, the duties usually appertaining to that office shall be performed by the Vice-President. He / She shall serve as the Chairman of the Activities Committee and shall appoint at least two other members to his / her committee.

SECTION 3.     Duties of the Secretary:

The Secretary shall attend all meetings of the membership and shall record all minutes and votes. He / She shall keep an up-to-date roll of all Club members. He / She shall give all notices of meetings of the members required by lay or these by-laws and shall perform all incident to this office, required by law or a majority vote of the Officers. He / She shall have the custody of the Club’s records. In the absence of the Secretary from any of the said meetings, the presiding officer shall choose a temporary Secretary. The Secretary shall publish or arrange for the publication of a monthly newsletter that shall contain a summary of the previous general membership meeting as well as any news deemed necessary. This office may be split into a Recording Secretary and a Correspondence Secretary. If this is the case both people will sit on the Board and have equal votes. The duties shall be split in such a way as to cover all required activities.

SECTION 4.     Duties of the Treasurer:

The Treasurer shall collect fees; dues or assessments duly imposed on the members and shall have the care and custody of and be responsible for all the funds and securities of the Club. He / She shall deposit all such funds in the name of the Club in such bank or banks, trust companies or safe deposit vaults as the membership may designate. He / She shall sign, make and endorse in the name of the Club all checks, drafts, warrants and orders for the payment of monies and pay out and dispose of same and receipt; therefore, under the direction of the President of the membership. He / She shall render a written statement of the condition of the finances of the Club at each regular meeting, and at any such other times as may be required.

SECTION 5.     Duties of the Officer-at-Large:

The Officer-at-Large shall be responsible for organizing all trips made by the Club as a club. He / She shall obtain directions, reservations or permits as may be required by law to make such trip. He / She shall serve as Public Relations Chairman, having the privileges to appoint any associates, as he / she deems necessary.

SECTION 6.     Duties of the Club Historian

The office of Club Historian shall be responsible for maintaining and storing the archives of the Club; including photographs, minutes of meetings, car show records, and any other physical property belonging to the Club.

ARTICLE V

Meetings

SECTION 1.     Annual Meeting:

The election of Officers shall occur during the September Annual Meeting of the members.

SECTION 2.     Monthly Meetings:

Regular monthly meetings of the membership shall be held on a date set by the Officers.

SECTION 3.     Special Meetings:

Special Meetings of the membership may be called by the President or by a majority of the Officers.

SECTION 4.     Notice of Meetings:

Notice of meetings, stating the place, day, hour and purpose of any meetings of the members, including special meetings, shall be given not less than seven days before such meetings to each member.

SECTION 5.     Quorum:

At all slated meetings of the membership, three-fifths of the Officers and a majority of the active members present shall constitute a quorum.

SECTION 6.     Majority Vote:

All action shall be by majority of those present voting. Except as hereafter provided, voting by proxy or absentee ballot shall not be allowed except with the approval of the majority of the Officers in accordance with the rules the prescribe and with notice to all members.

ARTICLE VI

Officers

SECTION 1.     Officers:

The Officers shall consist of President, Vice-President, Secretary(s), treasurer and Officer-at-Large.

SECTION 2.     Duties:

The Officers shall make recommendations to the Club concerning any matter and concerning the well being of the Club. The Officers may not make, create, modify or delete any law, committee or matter concerning the Club without approval of the membership of the club. The Officers shall assume the responsibility of any Officer that is unable to perform his / her duties for any reason.

ARTICLE VII

Elections

SECTION 1.     Officers:

The membership shall elect from it’s body a President, Vice President, Secretary(s), Treasurer, Historian and Officer-at-Large.

SECTION 2.     Nominations:

Nominations for Officers shall be made at the August monthly meeting.

SECTION 3.     Eligibility:

Only members in good standing shall be eligible to vote or serve as an Officer of the Club.

SECTION 4.     Election:

Election of Officers shall be held at the Annual Meeting in September, with the newly elected Officers assuming their duties in October.

ARTICLE VIII

Committees

SECTION 1.    

The President shall appoint such committees as he finds desirable from time to time and shall outline the duties and responsibilities of such committees. All reports or actions taken by a committee must be voted on by a majority of the entire committee. Certain standing committees should be appointed including Newsletter, Publicity, Membership and special events.

ARTICLE IX

Personal Liability

SECTION 1.

All persons or corporations extending credit to, contracting with, or having any claim against the Club or it’s Officers, shall look only to the funds and property of the Club for payment of any such contract or claim or for repayment of any debt, damage, judgment or decree, or any other money that may be otherwise become due or payable to them from the corporation or the Officers, so that neither the members of the Club, the Officers, present or future, shall be liable personally therefore.

ARTICLE X

Amendments

SECTION 1.     Changes:

Any amendments to these by-laws may be adopted by a vote of the members, at any meeting, so long as a quorum is present to vote and written notice has been presented to the members at the meeting previous to the vote or by publication at least two weeks prior to the vote.

ARTICLE XI

SECTION 1.     Rules of Order:

Roberts Rules will govern regulations or disputes in ruling.

ARTICLE XII

Charity of Choice

Each year a recognized non-profit organization(s) or charity(s) of choice will be recommended by the Officers at the August monthly meeting. Any member in good standing may present a charity to be considered in advance of the July meeting to the Officers. Excess receipts generated by car shows, fundraisers and other designated gifts will be donated to these non-profit organizations / charities at the direction of the Officers and approval by the general membershipat the September monthly meeting. Note: No part of the Club’s excess revenues may benefit an individual, private foundation or any person having a personal or private interest in the activities of the Club.
